Terms

Last updated 7 October 2026

These terms are a draft awaiting legal review.

Sections marked [to confirm] are commercial or regulatory decisions, not drafting gaps. They must be settled before launch.

Who these terms are with

Your agreement is with [to confirm: registered name and company number]. By creating an account you accept these terms on behalf of yourself and, where you are acting for a company, on behalf of that company.

Your account

You are responsible for what happens under your login. Do not share it — invite people to your company instead, which gives them their own account and an access level you control and can withdraw. Team seats are unlimited, and accountant and adviser seats are free on every plan.

A company has exactly one owner. Ownership moves by transfer, never by deletion, so a company is never left without somebody who can act for it.

What we provide

Tools for incorporating, running and growing a UK company: company records, team and permissions, document storage, and the compliance and fundraising features described on this site. Some features are marked as coming soon and are not part of what you are paying for until they ship.

We are not your accountant, your solicitor or your adviser. The platform helps you organise and file information. It does not give accounting, legal or tax advice, and nothing it produces is a substitute for a professional who knows your circumstances. Deadlines and reminders are provided to help you, but keeping to your statutory obligations remains yours.

Service levels

We aim to keep the platform available at all times, and will give notice of planned maintenance where we reasonably can. We do not guarantee uninterrupted access, and interruptions caused by third parties we depend on — Companies House, HMRC, our payment provider — are outside our control.

[to confirm: the uptime we commit to, the support response times, and what remedy applies if we miss them]

Paying, and stopping

Paid plans are billed in advance, monthly or annually, at the prices shown when you subscribe. Prices exclude VAT, which is added where it is due. You can cancel at any time and keep access until the end of the period you have paid for.

[to confirm: the refund policy, and what happens to your access and your data if a payment fails and keeps failing] — this is the same decision as our dunning policy, and until it is made nothing is switched off for non-payment.

You can delete your account at any time from your settings, and download everything we hold about you first.

Investments

[to confirm: our FCA position — authorised, appointed representative, or introductions only. This section cannot be finalised until that is decided.]

Nothing on this platform is an offer to invest, a recommendation, or advice about the merits of any investment. Investing in early-stage companies puts your capital at risk: most such companies fail, shares in them are usually illiquid and may be impossible to sell, and you should not invest money you cannot afford to lose. Tax reliefs such as SEIS and EIS depend on individual circumstances and on the company qualifying, and may change.

Where the platform connects founders and investors, we do not vet the merits of any company or the accuracy of what it publishes. Each party is responsible for its own due diligence.

Your content

What you upload stays yours. You give us permission to store and process it so we can provide the platform, and nothing more — we do not use it to train anything, and we do not share it except as set out in our privacy policy.

Liability

We do not exclude liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. Subject to that, our total liability is limited to the amount you have paid us in the twelve months before the claim, and we are not liable for lost profits, lost business or indirect loss.

[to confirm with our solicitor and our insurer]

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
